Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ryo Health website and services (the “Services”), operated by Ryo Health, Inc.(“Ryo,” “we,” “us”). Our Privacy Policy and Telehealth Informed Consent are incorporated by reference. By using the Services, you agree to all three.

What Ryo is and is not

Ryo Health, Inc. is a technology and administrative platform that connects you with an independent medical group and with licensed pharmacies. Ryo is not a healthcare provider and not a pharmacy, and does not practice medicine or dispense medication. Clinical care is provided by independent licensed providers of [DOSABLE PC LEGAL NAME] (the “Medical Group”); medications are dispensed by [PHARMACY NAME(S)] (the “Pharmacy”). You do not enter a provider-patient relationship with Ryo, and Ryo is not liable for the clinical judgment, care, or treatment of the Medical Group or Pharmacy.

Not an emergency service

The Services are not for emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.

Eligibility

You must be 18 or older, able to form a binding contract, and physically located in a state where the Services are then available. Availability changes over time and is the intersection of the states where our Medical Group providers are licensed and the states Ryo serves. The current list is shown at sign-up.

The consultation and prescription

After you complete an online health questionnaire, a licensed provider reviews it and determines whether treatment is appropriate. A prescription is never guaranteed. Providers do not prescribe DEA controlled substances. If no prescription is issued where one is required, your order is declined and any payment for it is refunded.

Your information must be truthful

You are responsible for the accuracy and completeness of the information you provide. Ryo is not liable for outcomes resulting from inaccurate or incomplete information you give.

Membership, billing, and subscriptions

Some products are sold on a recurring subscription. By enrolling, you authorize Ryo Health, Inc. to charge your payment method (via Stripe) on a recurring basis at the price and cadence shown at checkout, until you cancel. Your fee may change if your prescription changes (for example, a dose change). All fees are disclosed before you are charged. Cancellation and refunds are governed by our Refund, Cancellation & Subscription Policy.

No insurance or government programs

The Services are paid out of pocket. They are not covered by Medicare, Medicaid, or other federal or state programs, and no claim for reimbursement will be submitted by or on behalf of you.

Compounded medications

Certain medications offered are compounded preparations. Compounded drugs are not FDA-approved, and the FDA does not review them for safety, effectiveness, or quality before they are marketed. Please read our Important Safety Information before ordering.

Intellectual property and acceptable use

The site and its content are owned by Ryo and licensed to you for personal, lawful use only. You may not copy, scrape, reverse-engineer, overload, or disrupt the Services, or use them to transmit unlawful or infringing content.

Disclaimers, limitation of liability, and indemnity

The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, Ryo and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, and Ryo’s total liability is capped at the greater of [$ AMOUNT] or the amounts you paid Ryo in the prior [6] months. You release Ryo from claims arising out of the clinical acts of the Medical Group or Pharmacy, and you agree to indemnify Ryo for claims arising from your misuse of the Services or your breach of these Terms. Financial relationships

Ryo earns fees from the arrangements described here and may have financial relationships with the Medical Group and Pharmacy. [Counsel to phrase to match the actual economics and any provider equity.]

Disputes

Conduct and termination

You agree to a basic code of conduct: be truthful, do not abuse staff or providers, do not share your account, and pay for what you order. We may suspend or terminate accounts for violations or legal risk. Sections that should survive termination (liability, indemnity, and disputes) do.
